Background: Transparency and accountability are central to corporate governance, but their implementation in Tanzanian private companies depends on more than the existence of statutory requirements. This article examines the legal and institutional framework governing corporate disclosure, financial reporting, directors' duties, shareholder oversight and beneficial ownership, and considers factors that may constrain implementation. Key Findings: The analysis identifies limited integration of the legal and institutional framework, concentrated ownership and control, limited awareness of governance obligations, weaknesses in monitoring and enforcement, and inadequate internal governance mechanisms as relevant constraints. A conceptual framework drawing on agency and stakeholder perspectives links these constraints to the allocation and exercise of corporate power, the accountability of directors and controlling shareholders, and the protection of shareholders and other legitimate interests. Documentary and institutional evidence, including BRELA compliance and beneficial-ownership activities and relevant judicial decisions, indicates that implementation mechanisms operate within the existing framework. The available evidence does not, however, permit a comprehensive assessment of the prevalence or scale of governance challenges across Tanzania's private-company sector. Conclusion: The article recommends a National Corporate Governance Code for Private Companies establishing mandatory minimum standards, with enhanced requirements proportionate to size, complexity, ownership structure, financing, regulatory status and economic or public-interest significance. Effective implementation should be supported by institutional capacity, risk-based monitoring, beneficial-ownership verification, clearer compliance mechanisms and coordination among relevant institutions.
